This law, which came into effect on December 31, 1989, allows:\u00a0<\/span><\/p><ul><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">the franchisor to guarantee complete transparency to its candidate regarding elements concerning its network,<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">the franchisee to make an informed decision and sign the contract with all the information at their disposal.<\/span><\/li><\/ul><p><i><span style=\"font-weight: 400;\">\u201c Any person who makes a trade name, trademark, or brand name available to another person, requiring that person to commit to exclusivity or quasi-exclusivity in the exercise of their activity, is required, prior to the signing of any contract concluded in the mutual interest of both parties, to provide the other party with a document containing truthful information that allows them to make an informed commitment. \u201d<\/span><\/i><\/p><p><span style=\"font-weight: 400;\">The law was subsequently codified in 2000 by ordinances to <\/span><span style=\"text-decoration: underline; color: #1284e0;\"><a style=\"color: #1284e0;\" href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006231936\/\" target=\"_blank\" rel=\"noopener nofollow\"><span style=\"font-weight: 400;\">l&rsquo;article L 330-3 du Code de commerce<\/span><\/a><\/span><span style=\"font-weight: 400;\">.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1cc55b6 elementor-widget elementor-widget-heading\" data-id=\"1cc55b6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">What purpose should the DIP serve for you and your future franchisee?<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8f3749f elementor-widget elementor-widget-text-editor\" data-id=\"8f3749f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"font-weight: 400;\">The pre-contractual information document allows you to present the network from an administrative, financial, legal, and contextual perspective. It brings transparency to the relationship with your franchisee and provides them with the information they need to sign with confidence. It outlines the market in which the point of sale will be positioned.\u00a0<\/span><\/p><p><span style=\"font-weight: 400;\">Reading and signing the pre-contractual document does not bind either party. Only the franchise agreement gives effect to the franchisor-franchisee relationship and its terms and conditions.\u00a0<\/span><\/p><p><span style=\"font-weight: 400;\">Give your future franchisee time to read the document and think about their commitment. Any pressure you exert could be perceived as ambiguous and would not work in your favor. Don't wait until the last minute to give it to them, and make sure you are available to answer any questions they may have.\u00a0<\/span><\/p><p><span style=\"font-weight: 400;\">The franchise candidate should take this time to read the document thoroughly and fully understand everything it entails. Answer their questions clearly, as this will only serve to strengthen their confidence.<\/span><\/p><p><span style=\"font-weight: 400;\">To reassure the candidate, don't limit yourself to providing only the information required by law. Give the future franchisee everything they need to make an informed decision. Complete the document with details of the project planned at this stage.<\/span><\/p><p><span style=\"font-weight: 400;\">You can entrust the drafting of your DIP to the lawyer who advises your network. It must therefore be provided to the franchisee at least 20 days before the agreement is signed. To be compliant, the pre-contractual document must include certain information, as specified by <\/span><span style=\"text-decoration: underline;\"><span style=\"color: #1284e0;\"><a style=\"color: #1284e0; text-decoration: underline;\" href=\"https:\/\/www.legifrance.gouv.fr\/loda\/id\/JORFTEXT000000537032\/\" target=\"_blank\" rel=\"noopener nofollow\"><span style=\"font-weight: 400;\">l\u2019article 1 du d\u00e9cret Doubin du 1<\/span><span style=\"font-weight: 400;\">er<\/span><span style=\"font-weight: 400;\"> avril 1991<\/span><\/a><\/span><\/span><span style=\"font-weight: 400;\">.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-87ae8c3 elementor-widget elementor-widget-heading\" data-id=\"87ae8c3\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">The DIP must contain:<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e44a90a elementor-widget elementor-widget-text-editor\" data-id=\"e44a90a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ol><li><span style=\"color: #000000;\"><b>information on the network head<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"> (address of registered office, nature of activities, legal form, identity of director(s), share capital)<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><span style=\"font-weight: 400;\">l<\/span><b>the registration number in the Trade and Companies Register<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"> or in the trade register of the network head, where applicable, the date and registration number of the trademark in the national trademark register<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><b>the bank account of the head office<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">, limiting it to the five main domiciles<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><b>the date the company was established<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">, a presentation of its evolution and the factors that justify the manager's experience<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><b>the list of companies that are part of the network<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">, in particular those bound by the same type of contract as the one to be offered, their addresses, and the date of conclusion or renewal of these contracts<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><b>if the network works with more than 50 companies<\/b><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">, a list of those that left the network in the year prior to signing and the reason for termination of the contract, as well as all establishments in which the products or services covered by the contract are offered.<\/span><\/span><\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"color: #000000;\"><b>the characteristics of the proposed contract:<\/b><span style=\"font-weight: 400;\"> its duration, conditions for renewal, termination, or transfer, and the scope of exclusivity<\/span><\/span><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d162cea elementor-widget elementor-widget-heading\" data-id=\"d162cea\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">The DIP must also include appendices presenting:<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-640e5e7 elementor-widget elementor-widget-text-editor\" data-id=\"640e5e7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">the annual accounts for the last two financial years<\/span><\/span><\/span><\/li><li><span style=\"font-weight: 400;\">or the reports prepared for the last two financial years.<\/span><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-668466a elementor-widget elementor-widget-heading\" data-id=\"668466a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h3 class=\"elementor-heading-title elementor-size-default\">If you fail to comply with the terms of the law, you risk two main penalties:<\/h3>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-be3f8ba elementor-widget elementor-widget-text-editor\" data-id=\"be3f8ba\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<ul><li><span style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">a fine for 5th class offenses,<\/span><\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">the cancellation of the contract concluded with the candidate and the restoration of the situation to the state it was in prior to the signing of the contract.<\/span><\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6969845 elementor-widget elementor-widget-global elementor-global-20642 Le DIP, ou document d\u2019information pr\u00e9contractuel, repose sur la loi Doubin qui encadre les formes de commerces organis\u00e9s. Entr\u00e9e en vigueur le 31 d\u00e9cembre 1989, cette loi permet :\u00a0 au franchiseur de garantir une totale transparence \u00e0 son candidat sur les \u00e9l\u00e9ments concernant son r\u00e9seau, au franchis\u00e9 de prendre une d\u00e9cision en toute connaissance de cause et de signer son contrat avec tous les \u00e9l\u00e9ments en sa possession. \u201cToute personne qui met \u00e0 la disposition d&rsquo;une autre personne un nom commercial, une marque ou une enseigne, en exigeant d&rsquo;elle un engagement d&rsquo;exclusivit\u00e9 ou de quasi-exclusivit\u00e9 pour l&rsquo;exercice de son activit\u00e9, est tenue pr\u00e9alablement \u00e0 la signature de tout contrat conclu dans l&rsquo;int\u00e9r\u00eat commun des deux parties de fournir \u00e0 l&rsquo;autre partie un document donnant des informations sinc\u00e8res, qui lui permette de s&rsquo;engager en connaissance de cause.\u201d La loi a depuis \u00e9t\u00e9 codifi\u00e9e en 2000 par des ordonnances \u00e0 l&rsquo;article L 330-3 du Code de commerce. \u00c0 quoi doit servir le DIP pour vous et votre futur franchis\u00e9 ? Le document d\u2019information pr\u00e9contractuel vous permet de proc\u00e9der \u00e0 la pr\u00e9sentation du r\u00e9seau d\u2019un point de vue administratif, financier, juridique et contextuel. Il apporte de la transparence dans la relation avec votre franchis\u00e9 et lui donne les indications n\u00e9cessaires \u00e0 une signature sereine. Vos obligations sur le DIP en tant que franchiseur La loi Doubin est claire : le DIP doit concentrer toutes les informations dont le franchis\u00e9 a besoin pour prendre sa d\u00e9cision et signer le contrat de franchise. Il doit donc lui parvenir dans un d\u00e9lai l\u00e9gal minimum de 20 jours avant la signature du contrat. Pour \u00eatre conforme, le document pr\u00e9contractuel doit comporter un certain nombre d\u2019informations, pr\u00e9vu par l\u2019article 1 du d\u00e9cret Doubin du 1er avril 1991. Le DIP doit contenir : les informations sur la t\u00eate de r\u00e9seau (adresse du si\u00e8ge, nature des activit\u00e9s, forme juridique, identit\u00e9 du ou des dirigeants, capital social) le num\u00e9ro d\u2019inscription au RCS ou au r\u00e9pertoire des m\u00e9tiers de la t\u00eate de r\u00e9seau, le cas \u00e9ch\u00e9ant, la date et le num\u00e9ro d\u2019inscription de la marque au r\u00e9pertoire national des marques la domiciliation bancaire de la t\u00eate de r\u00e9seau, en limitant aux cinq principales domiciliations la date de cr\u00e9ation de l\u2019entreprise, une pr\u00e9sentation de son \u00e9volution et les \u00e9l\u00e9ments qui justifient l\u2019exp\u00e9rience du dirigeant la liste des entreprises qui font partie du r\u00e9seau, en particulier celles qui sont li\u00e9es par le m\u00eame type de contrat que celui qui sera propos\u00e9, leurs adresses, la date de conclusion ou de renouvellement de ces contrats si le r\u00e9seau travaille avec plus de 50 entreprises, la liste de celles qui ont quitt\u00e9 le r\u00e9seau l\u2019ann\u00e9e pr\u00e9c\u00e9dent la signature et la raison de fin du contrat, ainsi que tous les \u00e9tablissements dans lesquels sont offerts les produits ou services faisant l&rsquo;objet du contrat les caract\u00e9ristiques du contrat propos\u00e9 : sa dur\u00e9e, ses conditions de renouvellement, de r\u00e9siliation ou de cession et le champ des exclusivit\u00e9s Le DIP doit \u00e9galement comporter des annexes pr\u00e9sentant : les comptes annuels des deux derniers exercices ou les rapports \u00e9tablis au titre des deux derniers exercices. Dans le cas o\u00f9 vous ne respecteriez pas les termes de la loi, vous risquez principalement deux sanctions : une amende pr\u00e9vue pour les contraventions de 5e classe, l\u2019annulation du contrat conclu avec le candidat et la remise en l\u2019\u00e9tat de la situation telle qu\u2019elle \u00e9tait avant la signature du contrat.
